Terms, Conditions, & Licensing Agreement

 

(1) SILVER LICENSE

Distribution/Earnings

Licensee shall have the worldwide, non-exclusive right to broadcast the song they create with the Instrumental in unlimited media forms (radio, shows, TV/film, iTunes, YouTube, etc.). Licensee is granted up to 5 radio spins. Licensee can earn up to $5,000 in gross profit from the use/exploitation of the Song. Licensee may also use the song they create in any non-profit projects. Instrumental must be combined with other audio (lyrics) and cannot be exploited by Licensee, or any affiliate of Licensee in any way shape or form as an instrumental alone, with the exception of background music for film/media owned by Licensee. Licensee will need to renew this license if any limits are reached, to maintain rights.

Synchronization

Licensee may also synchronize the Instrumental with an unlimited number of YouTube videos owned by Licensee.

Royalties

No royalties will be owed to Licensor for the usage/exploitation/sale of the song.

Copyright

Licensor maintains copyright ownership of Instrumental. Licensor and Licensee are jointly entitled to ownership of copyright of song.

Credit

In all projects in which the Instrumental is used, Licensee shall properly give credit to Licensor as the creator of the Instrumental in one of the following, or similar formats:

“Produced by BoxRockers”

“Prod. by BoxRockers”

“Beat by BoxRockers”

“Production by BoxRockers”

Term

All rights and terms in this agreement last for 1 (one) year after the acquisition (purchase) date of this license. This license will no longer be valid after one year of its purchase date, and will have to be renewed if the Licensee wishes to maintain these rights. If the Instrumental has been purchased exclusively, it will not be available for license renewal. Should the Instrumental be purchased exclusively during the term of this agreement, Licensee will still maintain all rights listed in this agreement, up to one year after license acquisition.

Documentation

Your receipt emailed to you after purchase, along with our transaction records serve as proof of this license acquisition, as well, serve as timestamps for the date that the license was acquired. The name listed as the purchaser in those records is considered the Licensee (you).

Authenticity

If this copy of the agreement does not include the signature of a member of the BoxRockers, LLC executive team, then this agreement is invalid and grants you no right to use any part of the Instrumental.

(2) GOLD LICENSE

Distribution/Earnings

Licensee shall have the worldwide, non-exclusive right to broadcast the song they create with the Instrumental in unlimited media forms (radio, shows, TV/film, iTunes, YouTube, etc.). Licensee is granted unlimited radio spins (refer to “6.Term” below). Licensee can earn up to unlimited profit (refer to “6.Term” below) from the use/exploitation of the Song. Licensee may also use the song they create in any non-profit projects. Instrumental must be combined with other audio (lyrics) and cannot be exploited by Licensee, or any affiliate of Licensee in any way shape or form as an instrumental alone, with the exception of background music for film/media owned by Licensee. Licensee will need to renew this license if any limits are reached, to maintain rights.

(3) EXCLUSIVE RIGHTS

Exclusive rights allow the Licensee to use the Instrumental for unlimited commercial recordings or broadcasts. The Licensor has full rights to record, alter, and mix the Instrumental in any shape, way, or form (except reselling the Instrumental). The Licensee must give full credit to the Licensor as on all commercial recordings. Upon purchasing exclusive rights, the Licensor still owns copyright to the Instrumental but is no longer able to resell the Instrumental.

The Licensor expressly forbids resale or other distribution of the Instrumental. The Licensor cannot sell, loan, rent, lease, assign any melodies, instruments, drum programming or transfer rights to another user (example – Record Label, another production company, another producer), or for use in any competitive product without written consent and or a separate license agreement.

If the Instrumental includes samples, the Licensee understands that the sequence and music arrangement is considered original work. Samples may not be cleared before composition, and Licensee is required to seek clearance for the samples. The Licensee is responsible for clearing all samples used (if any) and the Licensor cannot and will not be held liable for the misuse of any sampled material that the Licensee uses in conjunction with the composition/arrangement that is being licensed in this agreement.

Licensee must supply the Licensor with at least 1 copy of each final recording made using the Instrumental. Licensee must include credits to Licensor on all physical media containing a portion or sum of the Instrumental that is being licensed in this agreement. Including but not limited to CD’s, CD covers, Cassette tapes, Cards, Mix-tapes, Websites, etc. “Produced by BoxRockers” will suffice.

Note: Please be aware that when buying an exclusive track from BoxRockers.com others may have leased that same track. That/Those license(s) will continue to have the same rights stated in the lease license agreement, even after your exclusive purchase. It is your responsibility to ensure that the song you create to the track lives up to your standards. However, leases end after one year from the date they are purchased. Make sure you are very confident that you have the potential to become very successful with a track before purchasing its exclusive rights. With that being said, if you would like a track solely for yourself (a track nobody else has leased), request a custom beat.

 

(4) REFUND POLICY

If you are not satisfied with any non-exclusive purchase (i.e. ‘Silver, or Gold’ licenses), you can get a full refund from us if you notify us within 30 days of your purchase. However, you forfeit all rights to the corresponding instrumental(s). A refund in our PayPal records will constitute revoking of your rights to the corresponding products refunded.

This policy only applies to non-exclusive licenses (Silver, & Gold). This DOES NOT apply to custom production or exclusive licenses.

There are absolutely NO refunds for custom services or exclusive licenses.

 

(5) CUSTOM SERVICES

Custom services such as “Mixing”, “Mastering”, “Instrumental Creation” (‘Custom Beats’), “Songwriting”, or any service provided privately by BoxRockers, LLC shall be paid for in full before services are rendered.

Completed services will be MAILED to buyer on a flash drive, and must be signed for by buyer. Only “tagged” copies of work will be emailed to buyer for audit purposes only.

 

(6) RESERVATIONS

We do not allow reservations for exclusive rights to any of our products.

 

(7) PAYMENTS

BoxRockers, LLC accepts cash, PayPal and money orders. Payment plans for purchases over $1,000 are liberally negotiable and have to been done by money order only.

 

(8) DELIVERY

All non-exclusive products are delivered instantly and digitally via the WooCommerce platform. Custom services are delivered via snail mail (FEDEX, UPS, USPS).

 

(9) Authentication

By purchasing a product or service through BoxRockers.com, you automatically agree to these terms and conditions.

 

(10) PRIVACY POLICY

This Privacy Policy governs the manner in which BoxRockers, LLC collects, uses, maintains and discloses information collected from users (each, a “User”) of the https://www.boxrockers.com website (“Site”). This privacy policy applies to the Site and all products and services offered by BoxRockers, LLC.

Personal identification information

We may collect personal identification information from Users in a variety of ways, including, but not limited to, when Users visit our site, register on the site, place an order, subscribe to the newsletter, respond to a survey, fill out a form, and in connection with other activities, services, features or resources we make available on our Site. Users may be asked for, as appropriate, name, email address, credit card information. Users may, however, visit our Site anonymously. We will collect personal identification information from Users only if they voluntarily submit such information to us. Users can always refuse to supply personally identification information, except that it may prevent them from engaging in certain Site related activities.

Non-personal identification information

We may collect non-personal identification information about Users whenever they interact with our Site. Non-personal identification information may include the browser name, the type of computer and technical information about Users means of connection to our Site, such as the operating system and the Internet service providers’ utilized and other similar information.

BoxRockers, LLC may collect and use Users personal information for the following purposes:

– To improve customer service
Information you provide helps us respond to your customer service requests and support needs more efficiently.

– To personalize user experience
We may use information in the aggregate to understand how our Users as a group use the services and resources provided on our Site.

– To improve our Site
We may use feedback you provide to improve our products and services.

– To process payments
We may use the information Users provide about themselves when placing an order only to provide service to that order. We do not share this information with outside parties except to the extent necessary to provide the service.

– To run a promotion, contest, survey or other Site feature
To send Users information they agreed to receive about topics we think will be of interest to them.

We may use the email address to send User information and updates pertaining to their order. It may also be used to respond to their inquiries, questions, and/or other requests. Advertising partners who may set cookies may deliver ads appearing on our site to Users. These cookies allow the ad server to recognize your computer each time they send you an online advertisement to compile non-personal identification information about you or others who use your computer. This information allows ad networks to, among other things, deliver targeted advertisements that they believe will be of most interest to you. This privacy policy does not cover the use of cookies by any advertisers.

We encourage Users to frequently check this page for any changes to stay informed about how we are helping to protect the personal information we collect. You acknowledge and agree that it is your responsibility to review this privacy policy periodically and become aware of modifications.
